These terms and conditions (the “Terms and Conditions”) govern the use of https://www.evoca-labs.com (the “Site”). This Site is owned and operated by Evoca Labs LLC. This Site is the Evoca Labs consumer-facing website.

By using this Site, you indicate that you have read and understand these Terms and Conditions and agree to abide by them at all times.

THESE TERMS AND CONDITIONS CONTAIN A DISPUTE RESOLUTION CLAUSE THAT IMPACTS YOUR RIGHTS ABOUT HOW TO RESOLVE DISPUTES. PLEASE READ IT CAREFULLY.

Intellectual Property

All content published and made available on our Site is the property of Evoca Labs LLC and the Site's creators. This includes, but is not limited to images, text, logos, documents, downloadable files and anything that contributes to the composition of our Site.

Acceptable Use

As a user of our Site, you agree to use our Site legally, not to use our Site for illegal purposes, and not to:

• Violate the intellectual property rights of the Site owners or any third party to the Site;
• Hack into the account of another user of the Site;
• Act in any way that could be considered fraudulent;
• Post any material that may be deemed inappropriate or offensive;
• Intentionally post fraudulent documents in an effort to influence responses by artificial intelligence agents;
• Connect a third-party account (such as a Google account) that you do not own or are not authorized to manage; or
• Provide another person's phone number, email address, or other contact information to our service without that person's authorization to be contacted by us.

If we believe you are using our Site illegally or in a manner that violates these Terms and Conditions, we reserve the right to limit, suspend or terminate your access to our Site. We also reserve the right to take any legal steps necessary to prevent you from accessing our Site.

Accounts

Our service is currently invite-only. Users cannot create accounts on our Site directly. To request access, please contact us at info@evoca-labs.com. If we accept your request, Evoca Labs LLC will create an account for you and provide you with credentials to access our Site.

Once you receive credentials and begin using your account, you agree to the following:

• You are solely responsible for your account and the security and privacy of your account, including passwords or sensitive information attached to that account;
• You will not share your credentials with any other person and will promptly notify us if you believe your credentials have been compromised; and
• All personal information you provide to us through your account is up to date, accurate, and truthful and you will update your personal information if it changes.

We reserve the right to suspend or terminate your account if you are using our Site illegally or if you violate these Terms and Conditions.

Our Services

The following services are available through our Site:

• Voice-powered artificial intelligence memory aids;
• Voice-recorded life stories and family-tree features, in which recordings and their transcripts are stored so they can be revisited;
• Daily voice-powered conversational check-in that helps the user stay mentally engaged and may surface changes in their day-to-day for family members and caregivers to be aware of;
• Analysis of conversation turns for language that may indicate emotional distress or a safety concern — such as expressions of loneliness, depression, or thoughts of self-harm — as described in our Privacy Policy; and
• Caregiver safety alert notifications, sent via SMS and email to a designated caregiver.

These Terms and Conditions apply to all the services that are displayed on our Site at the time you access it. All information, descriptions, or images that we provide about our services are as accurate as possible. However, we are not legally bound by such information, descriptions, or images as we cannot guarantee the accuracy of all services we provide. You agree to use our service at your own risk.

We reserve the right to modify, suspend, or discontinue any of our services at any time without notice.

Communications and Caregiver Authorization

By using our Site and designating a caregiver in our admin portal, you authorize Evoca Labs LLC to send SMS messages and email notifications to the contact information you provide for that caregiver, in accordance with our Privacy Policy.

Your attestation when designating a caregiver

When you designate a caregiver and provide their phone number or email address, you attest that:

• You have the caregiver's authorization to provide their contact information to us;
• You have informed the caregiver that they will receive automated messages from Evoca Labs LLC related to safety alerts; and
• You understand that the caregiver will be required to confirm consent through a double opt-in process before any SMS messages are sent to them.

SMS scope and opt-out

Caregivers receive SMS messages only in connection with the safety alert features of our service. Daily check-in summaries to designated family members or caregivers are sent only via email, not SMS.

• Caregivers may reply STOP to any SMS message we send to opt out of further SMS communications.
• Caregivers may reply HELP for assistance and information about how to contact us.
• Message frequency varies based on user activity in our service.
• Standard message and data rates from the recipient's mobile carrier may apply.

Third-Party Account Connections

Our service allows you to connect your Google account so that you can manage your own Google Calendar events through voice commands. When connected, you can ask the voice assistant to list, create, update, or delete events on calendars that you own.

When you use voice commands to make changes to your Google Calendar, the voice assistant presents the proposed change for your review and asks you to confirm before it is applied. You are responsible for reviewing each proposed change and confirming or declining it. We take reasonable care to interpret voice commands accurately, but speech recognition and AI inference are not perfect, and we are not responsible for calendar changes that you confirm.

Your use of Google's services through our service is also governed by Google's own Terms of Service, in addition to these Terms and Conditions. You agree to comply with Google's terms when you use this integration.

You can revoke our service's access to your Google account at any time at https://myaccount.google.com/permissions. After revocation, we will no longer be able to access or modify your Google Calendar.

We are not responsible for outages, errors, or downtime in Google's services that may affect the calendar integration.

Beta Period

Our service is currently in an invite-only beta period and is offered free of charge while we test and refine the experience. There is no subscription, fee, or payment associated with the service at this time.

If you would like to be considered for participation in the beta, please contact info@evoca-labs.com. To discontinue use of the service, please contact info@evoca-labs.com and we will deactivate your account.

Our service offering may change in the future to include paid plans. If we introduce paid plans, we will provide users with advance notice and updated Terms and Conditions before any payment is required.

Research Program

We offer an optional research program, described in our Privacy Policy. Participation requires a separate, explicit opt-in recorded in our admin portal, given by the user or by a family member or caregiver with the authority to make that choice on the user’s behalf. Declining to participate, or withdrawing after opting in, never affects the service you receive or its price. Published research findings are anonymized and general; we never publish audio recordings, voices, names, or identifying story details.

Healthcare Context

Our service is designed for senior citizens and may be used in connection with medical record management, medication tracking, appointment information, and similar healthcare-related tasks. Our service is not a medical device and is not a substitute for professional medical advice, diagnosis, or treatment. Information provided by our voice assistant or in caregiver alerts is for informational purposes only. The safety analysis of conversation turns identifies observable language patterns so that a designated caregiver can check in; it is not a clinical assessment, a mental-health diagnosis, or a monitoring service, and it may miss concerning situations or flag benign ones.

If you or someone in your care is experiencing a medical or psychiatric emergency, do not rely on our service — call 911 or your local emergency number immediately.

While our service may store and process information that constitutes Protected Health Information (PHI) under the U.S. Health Insurance Portability and Accountability Act (HIPAA), Evoca Labs LLC is currently in an invite-only beta period and is not yet operating under a HIPAA Business Associate Agreement (BAA). HIPAA-grade compliance is a goal we are working toward as we approach general availability.

Consumer Protection Law

Where any consumer protection legislation in your jurisdiction applies and cannot be excluded, these Terms and Conditions will not limit your legal rights and remedies under that legislation. These Terms and Conditions will be read subject to the mandatory provisions of that legislation. If there is a conflict between these Terms and Conditions and that legislation, the mandatory provisions of the legislation will apply.

Links to Other Websites

Our Site contains links to third party websites or services that we do not own or control. We are not responsible for the content, policies, or practices of any third party website or service linked to on our Site. It is your responsibility to read the terms and conditions and privacy policies of these third party websites before using these sites.

Limitation of Liability

Evoca Labs LLC and our owners, members, managers, directors, officers, agents, employees, contractors, subsidiaries, and affiliates will not be liable for any actions, claims, losses, damages, liabilities and expenses including legal fees from your use of the Site.

Indemnity

Except where prohibited by law, by using this Site you indemnify and hold harmless Evoca Labs LLC and our owners, members, managers, directors, officers, agents, employees, contractors, subsidiaries, and affiliates from any actions, claims, losses, damages, liabilities and expenses including legal fees arising out of your use of our Site or your violation of these Terms and Conditions.

Applicable Law

These Terms and Conditions are governed by the laws of the State of Illinois.

Dispute Resolution

Subject to any exceptions specified in these Terms and Conditions, if you and Evoca Labs LLC are unable to resolve any dispute through informal discussion, then you and Evoca Labs LLC agree to submit the issue first before a non-binding mediator and to an arbitrator in the event that mediation fails. The decision of the arbitrator will be final and binding. Any mediator or arbitrator must be a neutral party acceptable to both you and Evoca Labs LLC. The costs of any mediation or arbitration will be paid by the unsuccessful party.

Notwithstanding any other provision in these Terms and Conditions, you and Evoca Labs LLC agree that you both retain the right to bring an action in small claims court and to bring an action for injunctive relief or intellectual property infringement.

Severability

If at any time any of the provisions set forth in these Terms and Conditions are found to be inconsistent or invalid under applicable laws, those provisions will be deemed void and will be removed from these Terms and Conditions. All other provisions will not be affected by the removal and the rest of these Terms and Conditions will still be considered valid.

Changes

These Terms and Conditions may be amended from time to time in order to maintain compliance with the law and to reflect any changes to the way we operate our Site and the way we expect users to behave on our Site. We will notify users by email of changes to these Terms and Conditions or post a notice on our Site.
